These Terms of Service ("Terms") govern your use of nextleveldefi.com and all related

websites, content, products, and services (the "Services") provided by Acosta Enterprises Corp. doing business as Next Level DeFi ("Next Level DeFi", "we", "us" or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

2. Account Registration

Some features require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Our Services

Next Level DeFi provides educational content, coaching programs, training, community access, and related services focused on decentralized finance (DeFi), cryptocurrency, and yield strategies. The Services may include:

• Free educational content, webinars, and training

• Paid coaching programs (Standard and Elite tiers)

• Group community access

• One-on-one coaching sessions with a coach or the founder

• Written materials, video content, frameworks, and templates

The specific deliverables for any paid program are described at the point of purchase and in the Customer Service Agreement signed at checkout.

4. No Financial, Investment, Tax, or Legal Advice

THE SERVICES ARE EDUCATIONAL ONLY. Next Level DeFi is not a registered

investment advisor, broker-dealer, financial planner, tax advisor, or attorney. Nothing on

the Site or in any program, video, email, coaching call, or community channel constitutes

financial, investment, tax, legal, or accounting advice. All examples, walkthroughs,

strategies, yield figures, and case studies are for illustrative and educational purposes

only.

You are solely responsible for your own financial decisions. Consult licensed professionals before making investment, tax, or legal decisions.

5. Cryptocurrency and DeFi Risk

You acknowledge that cryptocurrency and DeFi activities involve substantial risk, including total loss of capital. Risks include but are not limited to:

• Market volatility and price collapse

• Smart contract bugs, exploits, and protocol failures

• Impermanent loss in liquidity provider positions

• Loss of access due to lost seed phrases or private keys

• Regulatory changes that may restrict or eliminate certain activities

• Stablecoin de-peg events, bridge failures, and oracle attacks

• Phishing attacks, scams, and wallet drainers

Past performance shown in any educational material is not indicative of future results. Yields are variable and can change or go to zero without notice. You are responsible for your own due diligence and the security of your wallets and credentials.

6. Purchases and Payment

6.1 Pricing and Payment Methods

Pricing is displayed at checkout in U.S. dollars unless otherwise noted. We accept Visa, Mastercard, American Express, and Discover. Payment is processed securely by Authorize.Net. By submitting payment information, you authorize us and our payment processor to charge the amount shown at checkout, including any applicable taxes.

6.2 Installment Plans

Where offered, installment plans require you to authorize automatic recurring charges to your payment method until the full balance is paid. Failed payments may be retried and may result in a $35 late fee per occurrence. Access may be suspended for past-due balances.

6.3 Authorization

By completing checkout, you authorize Next Level DeFi to charge your payment method for the agreed amount and to send transactional emails and SMS messages related to your purchase.

7. Refund Policy

ALL SALES ARE FINAL EXCEPT AS EXPRESSLY PROVIDED BELOW.

7.1 Conditional 14-Day Refund

You may request a refund within fourteen (14) calendar days of purchase if ALL of the following

are true:

• You have not completed the one-on-one wallet setup and yield position session

• You have not accessed more than 20% of the program content

• You submit your request in writing to [email protected]

• You provide a good-faith reason and confirm a reasonable effort to engage

7.2 Non-Refundable

After 14 days, after the onboarding session, or after more than 20% content consumption, all payments are non-refundable. Bonuses, third-party software access, and one-time setup fees are non-refundable at any time.

7.3 Chargebacks

You agree to contact us before initiating any chargeback. Initiating a chargeback without first attempting good-faith resolution is a material breach of these Terms and may result in collection action for the disputed amount plus reasonable fees and costs.

8. Intellectual Property

All content on the Site and in the programs - including videos, audio, documents, frameworks, templates, graphics, logos, and proprietary methodologies - is owned by Next Level DeFi and is protected by U.S. and international copyright and intellectual property laws. Upon purchase, you receive a limited, non-exclusive, non-transferable, revocable license to access and use the content for your own personal educational use only.

You may NOT:

• Copy, reproduce, distribute, publish, or publicly display the content

• Resell, sublicense, rent, or share access with any third party

• Create derivative works based on the content

• Use the content to build a competing coaching, training, or educational product

• Reverse engineer, decompile, or scrape any part of the Site or content

Violations may result in immediate termination of access without refund and may be subject to legal action including statutory damages.

9. User Conduct

When using the Services, including community channels and coaching calls, you agree NOT to:

• Violate any law or regulation

• Harass, threaten, defame, or harm other users, coaches, or staff

• Post or share spam, phishing links, malware, or scam offers

• Solicit other members for unrelated products or services without permission

• Share confidential information disclosed in coaching calls or private channels

• Impersonate any person or entity or misrepresent your affiliation

• Use the Services to promote securities, ICOs, token sales, or anything that may be

illegal in your jurisdiction We reserve the right to remove users, revoke access, and terminate accounts for violations, with no refund.

10. Third-Party Services and Links

The Services may reference or link to third-party platforms, including DeFi protocols, exchanges, wallets, hardware devices, browser extensions, and software tools. We do not own, control, or guarantee these third parties. Your use of any third-party service is at your own risk and is subject to that third party's terms and privacy policy. We may receive affiliate compensation from some referrals; this never changes our recommendations or your price.

11. Testimonials and Results

Testimonials and case studies on the Site reflect the experiences of specific individuals and are not typical. Your results will depend on many factors including your capital, time commitment, risk tolerance, experience, market conditions, and many other factors outside our control. We do not guarantee any specific income, return, yield, or outcome from participation in the Services.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy at https://www.nextleveldefi.com/privacy.

13. Email and SMS Consent

By providing your email or phone number, you consent to receive emails and SMS messages

from us, including marketing, webinar reminders, replay links, cart-close notices, customer

support, and transactional messages. Message frequency varies. Standard message and data

rates may apply. Reply STOP to opt out of SMS, or use the unsubscribe link in any email.

Transactional messages may continue to be sent.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL

WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT,

AND ACCURACY OF CONTENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE

UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE

CORRECTED.

WE MAKE NO REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY,

COMPLETENESS, OR TIMELINESS OF ANY CONTENT, OR ABOUT ANY YIELD, RETURN,

OR FINANCIAL OUTCOME.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT LEVEL DEFI'S TOTAL

CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE

SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12)

MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL

WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR

EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST

CRYPTOCURRENCY OR DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY OF

SUCH DAMAGES.

16. Indemnification

You agree to indemnify, defend, and hold harmless Next Level DeFi, its officers, employees,

contractors, coaches, and affiliates from any claims, damages, losses, liabilities, and expenses

(including reasonable attorneys' fees) arising out of: (a) your use or misuse of the Services; (b)

your investment, trading, or DeFi activity; (c) your violation of these Terms; or (d) your violation

of any law or third-party right.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, United States, without regard

to conflict of laws principles. Any dispute shall first be addressed through good-faith direct

negotiation for at least thirty (30) days. If unresolved, the dispute shall be submitted to binding

arbitration administered by the American Arbitration Association under its Commercial

Arbitration Rules, with arbitration in Brooklyn, NY. You waive any right to a jury trial or to

participate in a class action against Next Level DeFi.

18. Termination

We may suspend or terminate your access to the Services at any time for any reason, including

violation of these Terms, with or without notice. Upon termination, your right to use the Services

ends immediately. Sections that by their nature should survive termination (including IP,

disclaimers, limitations of liability, indemnification, and dispute resolution) shall survive.

19. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date will reflect the most

recent revision. Material changes will be communicated by email or a notice on the Site.

Continued use of the Services after changes constitutes acceptance of the revised Terms.

20. General Provisions

20.1 Entire Agreement

These Terms, the Privacy Policy, and any Customer Service Agreement signed at checkout

constitute the entire agreement between you and Next Level DeFi.

20.2 Severability

If any provision is held to be invalid or unenforceable, the remaining provisions shall continue in

full force and effect.

20.3 No Waiver

Our failure to enforce any provision does not waive that provision or any other.

20.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to

any successor entity.

20.5 Electronic Acceptance

Click-through acceptance, checkout-page acceptance, and continued use of the Services all

constitute legally binding acceptance of these Terms.
